1. Agreement

These Terms govern your use of SocialGuap (“the Platform”), operated by [OWNER: legal entity name operating SocialGuap, e.g. "SocialGuap, Inc."] (“we”, “us”). By creating an account you accept these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

2. The Platform is a marketplace

SocialGuap connects creators and brands (“Buyers”) with clippers (“Sellers”). Contracts for clipping work are formed directly between Buyer and Seller; we are not a party to those contracts, we do not employ Sellers, and we do not guarantee the quality, legality, or results of any work. We provide the tools: discovery, messaging, ordering, payment processing, and dispute assistance.

3. Accounts and eligibility

  • You must be at least 18 and able to form a binding contract.
  • One role per account (clipper, creator, or brand). Provide accurate information and keep it current.
  • Email verification is required before transacting. We may suspend or ban accounts that violate these Terms.

4. Fees and payments

  • Creators and brands (Buyers) never pay a subscription — posting campaigns and hiring is free.
  • Clipper membership (Sellers only): Starter $12.95/mo, Pro $29.95/mo, or Elite $79.95/mo, billed by Stripe, cancellable any time via the billing portal; access continues to the end of the paid period. Tiers differ in daily pitch-card allowance (1, 5, or 10 per day, with unused-card rollover on Pro/Elite), the platform fee on orders (15%, or 10% on Elite), payout hold (7 days, or 3 days on Elite), campaign early access, pitch placement, verification priority, and analytics access.
  • Order fee: the Platform retains 15% of every order (10% for Elite-tier Sellers); the Seller receives the remainder. Minimum order $25. All prices are in USD.
  • Pitch packs: 10 pitch credits for $50, one-time purchase, non-refundable once any credit is used.
  • All payments are processed by Stripe. We never see or store full card numbers.

5. Payouts to Sellers

  • Sellers must complete Stripe Connect Express onboarding (identity and tax handled by Stripe) before accepting orders.
  • The Seller share (85%, or 90% for Elite) is transferred to the Seller’s Stripe account 7 days after an order is completed (3 days for Elite-tier Sellers), then paid out on Stripe’s normal schedule. The buffer covers disputes and chargebacks.
  • An order completes when the Buyer approves the delivery, or automatically 72 hours after delivery with no Buyer action.

6. Refunds, disputes, and chargeback clawback

  • Buyers may report a problem on active, delivered, or recently completed orders (within the 7-day payout hold). We will resolve reported disputes with a full refund or a release of funds to the Seller.
  • Orders more than 3 days late past their deadline may be cancelled by the Buyer for a full refund.
  • Chargeback clawback: if a Buyer’s card payment is reversed after the Seller has been paid, we may reverse the transfer or offset the amount against the Seller’s future earnings. We submit delivery evidence (clip URLs, timestamps, approval logs) on every card dispute.

7. On-platform payments only

Soliciting, offering, or accepting payment for Platform-originated work outside the Platform is prohibited and grounds for account termination. Contact details are masked in messages for this reason. Only on-platform orders receive dispute protection and count toward levels and the leaderboard.

8. Content and conduct

  • You retain rights to content you upload but grant us a license to host and display it to operate the Platform.
  • Sellers must only deliver clips they are permitted to create from the Buyer’s content and must comply with each social platform’s rules.
  • No unlawful, infringing, or deceptive content; no fake reviews or manipulated rankings; no harassment.

9. Creator directory and likeness

The directory includes profiles built from publicly available information about creators who are not yet members. These pages assert only true public facts and carry no membership signals. If a page is about you and you want it changed or removed, email [email protected] — we honor removal requests promptly.

10. Termination, disclaimers, liability

  • We may suspend or terminate accounts that violate these Terms. You may delete your account at any time; in-flight orders complete or refund first.
  • The Platform is provided “as is”. To the maximum extent permitted by law, our aggregate liability is limited to the fees you paid us in the 12 months before the claim.
  • We may update these Terms; material changes will be announced on the Platform. Continued use is acceptance.

11. Governing law and disputes

These Terms are governed by the laws of [OWNER: governing-law jurisdiction, e.g. "the State of Delaware, USA"], without regard to conflict-of-law rules. Any dispute not resolved informally will be brought exclusively in the courts of [OWNER: venue for legal disputes, e.g. county/state or country].
