These Terms of Service ("Terms") govern your access to and use of SocialGuap, including socialguap.com and its marketplace, account, campaign, creator, brand, clipper, payment, verification, and integration features (collectively, the "Platform").

The Platform is operated by Social Guap, 131 Continental Dr, Suite 305, Newark, DE 19713, United States ("SocialGuap," "we," "us," or "our").

By creating an account, accessing, or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. Eligibility and Accounts

You must be at least 18 years old and legally able to enter into a binding contract to use SocialGuap.

You agree to:

  • Provide accurate and current account information and keep it current.
  • Keep your login credentials secure.
  • Use only accounts, social profiles, and YouTube channels that you own or are authorized to use.
  • Be responsible for activity performed through your account, except to the extent caused by SocialGuap's own breach of duty.

Each account has one role: clipper, creator, or brand. Roles cannot be changed after signup, and features, plans, and permissions differ by role.

SocialGuap may require email verification, social-account or YouTube-channel verification, payment setup, payout onboarding, or other verification before certain features become available. Email verification is required before transacting.

2. SocialGuap Is a Marketplace

SocialGuap provides tools that let creators, brands, and clippers discover one another, communicate, post or fund campaigns, negotiate work, submit deliverables, track eligible performance, process payments, and resolve certain disputes.

Unless SocialGuap expressly states otherwise for a particular transaction:

  • Users contract with one another for marketplace work. SocialGuap is not a party to those contracts.
  • SocialGuap is not the employer, employee, agent, partner, or joint venturer of any creator, brand, or clipper.
  • SocialGuap does not guarantee that a user will receive work, earn a particular amount, achieve a particular number of views, or obtain any other commercial result.
  • Users remain responsible for the legality, quality, licensing, permissions, and platform-policy compliance of their own content and services.

3. Profiles and Verification

Users may create profiles containing information such as names, biographies, niches, platforms, work samples, social links, rates, statistics, and other marketplace information.

You must not:

  • Falsely claim ownership or control of a social-media account or YouTube channel.
  • Misrepresent your audience, performance, identity, experience, or qualifications.
  • Use another person's identity or likeness without authorization.
  • Submit fraudulent or manipulated statistics.
  • Circumvent SocialGuap's verification or trust systems.

SocialGuap uses verification indicators (such as "Verified" and "Connected") to distinguish information that has been verified or read from a platform from information that is self-reported. SocialGuap may remove a verification indicator at any time if the underlying verification lapses or is found to be inaccurate.

4. Plans and Subscriptions

Creating an account is free. Some features require a paid plan. Plans are role-specific and are purchased through Stripe.

Clipper plans

  • Starter: $12.95/month.
  • Pro: $29.95/month.
  • Elite: $79.95/month.

Pitching is unlimited on every clipper plan (one pitch per campaign). Plans differ in when a newly opened campaign becomes available to you (48 hours after opening on Starter, 24 hours on Pro, immediately on Elite), the number of clip links you may submit per campaign (10 on Starter, 25 on Pro, 50 on Elite), the platform fee on direct orders and the payout hold (Section 5 and Section 6), pitch placement, verification priority, and analytics access. A clipper without an active plan cannot pitch on campaigns and keeps the Starter link allowance for campaigns they were already accepted to.

Creator plan

  • Creator Base: $19.95/month.

Creator Base provides a reduced platform fee and a shorter payout hold on direct orders you sell (Section 5 and Section 6), directory placement, and other benefits displayed on the Platform.

Brand plan

  • Brand Base: $49.95/month.

Brand Base provides a monthly campaign credit equal to half the plan price (or half the amount actually paid, if less), granted after each successful payment, together with messaging, campaign, placement, and other benefits displayed on the Platform.

Plan features and prices may change prospectively. The price, billing period, included features, and any applicable taxes shown at checkout govern the purchase you are making.

Subscriptions renew automatically each month until cancelled. You can cancel at any time through the billing portal. Cancellation stops future renewals; access continues to the end of the already-paid billing period.

5. Platform Fees and Payments

All prices are in U.S. dollars.

Direct orders

For direct marketplace orders, SocialGuap deducts a seller-side platform fee from the order price and pays the seller the remainder.

  • The standard fee is 15% of the order price.
  • Sellers on the Elite or Creator Base plan pay 10%.

The minimum direct-order amount is $25.

Pay-per-view campaign funding

When a brand or creator funds a pay-per-view campaign, a platform fee of 15% is added on top of the campaign budget. The full budget remains available for clipper payouts; the fee is SocialGuap's separate charge. The budget and the fee are shown before you confirm payment. The minimum campaign budget is $25.

Payment processing

Payments are processed by Stripe on Stripe-hosted pages. SocialGuap does not see or store full payment-card numbers. Applicable sales tax is calculated by Stripe at checkout.

You authorize SocialGuap and Stripe to process charges, refunds, transfers, fees, and other payment actions necessary to carry out transactions you initiate through the Platform.

6. Seller Payouts

Sellers are paid through Stripe Connect. Stripe handles identity verification, tax information, and payout timing to your bank. You may accept, deliver, and complete work before connecting a payout account; connecting is what lets SocialGuap send your money.

Direct orders

  • The seller's share is transferred to the seller's Stripe account 7 days after the order is completed.
  • Sellers on the Elite or Creator Base plan receive a 3-day hold.
  • Stripe's own payout schedule applies after SocialGuap initiates the transfer.

Pay-per-view campaigns

  • Verified views on an accepted clip accrue earnings against the campaign budget at the campaign's stated rate, subject to the campaign's minimum-view threshold and any per-link minimum.
  • Earnings on a clip begin to accrue only after the clip has been submitted for 72 hours.
  • Accrued earnings are transferred 3 days after they are recorded, subject to the fraud controls in Section 7.

Delayed transfers

If an amount becomes payable before you have connected a payout account, SocialGuap records the amount as owed to you while it remains in SocialGuap's Stripe balance, and shows it to you in Payout settings with the reason it has not been sent. This is not a wallet or stored-value account: it cannot be spent, sent to anyone else, or withdrawn. Connecting a payout account is the only way to receive it, after which it is sent automatically on the next payout run.

Claim window and forfeiture

  • You have 12 months (365 days) from the date a payment first becomes due to connect a payout account and claim it.
  • SocialGuap reminds you by email and in the Platform at 30, 90, and 180 days.
  • If a payment is still unclaimed 12 months after it first became due, all three reminders have been sent, and at least 30 days have passed since the last reminder, the amount may be forfeited and retained by SocialGuap. SocialGuap will tell you in the Platform if an amount is forfeited.
  • For any payment that first became due before this clause was posted on 23 August 2026, the 12 months are counted from that date.

7. Campaigns, Deliverables, and Performance-Based Payments

Campaign owners are responsible for describing campaign requirements accurately, including content requirements, deadlines, rates, minimum thresholds, budgets, and permitted platforms.

Clippers and creators are responsible for ensuring that submitted work:

  • Meets the campaign requirements.
  • Is original or properly licensed.
  • Complies with the rules of the platform where it is posted.
  • Does not infringe third-party rights.
  • Does not use bots, purchased engagement, manipulated traffic, fake engagement, or other deceptive methods.

SocialGuap determines whether a submission qualifies for payment using public view counts obtained through official platform APIs (for YouTube, the YouTube Data API), manual verification where an automated count is not available, fraud controls, and manual review. SocialGuap may pause accrual, require manual verification, flag a submission for review, or reject it where a count cannot be verified reliably, moves implausibly, or shows signs of manipulation. Stored counts never decrease silently; corrections are recorded.

No user may manipulate views, engagement, submissions, or verification systems in order to obtain payment. SocialGuap pays clippers and creators for the reach of content they created and posted; SocialGuap does not pay anyone to view, like, share, comment on, or subscribe to content.

Platform statistics may be delayed, unavailable, corrected, removed, or changed by third-party platforms. SocialGuap is not responsible for such changes.

8. Delivery, Acceptance, Refunds, Disputes, and Chargebacks

For direct orders:

  • An order is completed when the buyer approves the delivery, or automatically 72 hours after delivery if the buyer takes no action.
  • Buyers may report a problem on an active, delivered, or recently completed order within the payout-hold period. SocialGuap resolves reported disputes with a full refund or a release of funds to the seller.
  • An order that is more than 3 days late past its deadline may be cancelled by the buyer for a full refund.

SocialGuap may review messages, submissions, delivery records, timestamps, payment records, and other relevant evidence when handling a dispute.

If a payment is reversed, disputed, refunded, or charged back after a seller has received funds, SocialGuap may, where permitted:

  • Reverse or attempt to reverse the transfer.
  • Offset the amount against future amounts payable to that seller.
  • Provide transaction and delivery evidence (clip URLs, timestamps, approval logs) to Stripe or the applicable card network. SocialGuap submits such evidence on every card dispute.

9. Usage Rights for Content Deliverables

Some orders are for a content file rather than a posted video: the seller produces the video and delivers it as a download, and the buyer publishes it. Every such order records one usage-rights term, chosen by the parties before the order is created. That term, together with the order's approval timestamp, is the licence.

  • Organic only — the buyer may publish and use the video on the buyer's own channels. It does not permit paid promotion of any kind.
  • Paid ads for 30 days, 90 days, 1 year, or perpetual — the buyer may additionally run the video as a paid advertisement on any platform for the stated period.

"Running as a paid advertisement" means using the video in any promotion the buyer pays a platform or third party to distribute, including boosted posts, ad placements, and paid partnerships. The term begins when the order is approved (or auto-approved). When a term expires, the buyer must stop paid distribution of the video; nothing requires the buyer to remove organic posts already published.

The seller grants the buyer these rights for the recorded term and warrants that they are entitled to do so, including for anyone appearing in the video. The seller retains ownership of the footage except as licensed here. Rights beyond the recorded term (for example exclusivity, whitelisting a seller's own ad account, or resale) are not granted by these Terms and must be agreed separately. Disputes about usage are handled through the dispute process in Section 8.

10. On-Platform Transactions

Users must not use SocialGuap to find or negotiate Platform-originated work and then move payment off the Platform to avoid fees, safeguards, or transaction records. Contact details are masked in messages for this reason.

Soliciting, offering, or accepting off-platform payment for Platform-originated work is prohibited and may result in restrictions or account termination.

Only on-platform transactions receive SocialGuap's payment protection, dispute handling, and marketplace benefits, and only they count toward levels and the leaderboard.

11. Content, Licenses, and Conduct

You retain ownership of content you submit to SocialGuap.

You grant SocialGuap a non-exclusive, worldwide, royalty-free license to host, reproduce, process, display, and transmit content you provide, only as reasonably necessary to operate, secure, promote, and provide the Platform and the marketplace features you use.

You represent that you have all rights and permissions necessary for the content you upload, link, submit, license, or deliver. Sellers must deliver only clips they are permitted to create from the buyer's content and must comply with each social platform's rules.

You must not use SocialGuap for:

  • Illegal, fraudulent, deceptive, or infringing activity.
  • Harassment, threats, abuse, or unlawful discrimination.
  • Malware, credential theft, spam, or platform manipulation.
  • Fake reviews or manipulated rankings.
  • Copyright or trademark infringement.
  • Unauthorized use of another person's account, content, identity, or likeness.
  • Artificial views, fake engagement, bots, or other fraudulent performance manipulation.

12. Public Creator Directory

SocialGuap displays some creator profiles assembled from publicly available information, including public YouTube channel information obtained through YouTube API Services, about creators who have not created a SocialGuap account.

Such a page asserts only public facts and carries no membership signal. It must not be read as a claim that the creator is a SocialGuap member unless the Platform indicates membership or verification.

A person who is the subject of a public creator-directory page may request correction or removal by emailing [email protected]. We honor removal requests promptly.

13. Google Sign-In and YouTube API Services

SocialGuap offers Google Sign-In and an optional YouTube connection for creators. Both use Google OAuth. They are separate: signing in with Google does not give SocialGuap access to your YouTube channel.

The YouTube connection

If you choose to connect a YouTube channel, SocialGuap requests the following read-only permissions from Google, both of which are required:

  • https://www.googleapis.com/auth/youtube.readonly
  • https://www.googleapis.com/auth/yt-analytics.readonly

SocialGuap does not request YouTube write, upload, comment, revenue, or monetary-analytics access, and never posts, edits, or deletes anything on YouTube on your behalf.

By connecting, you authorize SocialGuap to read the channel details, recent-upload statistics, and YouTube Analytics reports described in our Privacy Policy, to use them to verify that you own the channel, and to build a channel fit card and Connected badge for your profile.

Your visibility choices

SocialGuap displays your fit card to other SocialGuap users according to your visibility settings in Settings › Verification. Each fit-card item (subscriber count, audience, top countries, reach, attention, engagement rate, subscribed-viewer share, content mix, and safety) has its own setting. All items are visible when you first connect; you may turn any item off at any time, and items that are off are not shown to anyone but you.

Leaving an item visible is your express authorization for SocialGuap to display that item to the users described in the Privacy Policy (signed-in users who can view full creator profiles, principally brands). Connected YouTube data is never shown to visitors who are not signed in and is never transferred outside SocialGuap.

YouTube Terms of Service

By using any SocialGuap feature that accesses or uses YouTube API Services, you agree to be bound by the YouTube Terms of Service. Google's handling of your data is described in the Google Privacy Policy.

Your obligations

  • Connect only a YouTube channel that you own or are authorized to manage.
  • Do not use SocialGuap to misrepresent channel ownership, authorization, identity, or statistics.

Disconnecting and revoking

You may disconnect any channel at any time in Settings › Verification, and you may revoke SocialGuap's access from your Google Account permissions. When you disconnect, SocialGuap deletes the connection and stored token immediately and revokes its access with Google; the last stored fit card is retained for up to 30 days and then deleted. Disconnecting removes the Connected badge and may remove your creator verification if no other verified platform remains. Full details, including what happens when access is revoked on Google's side and how to request deletion, are in the Privacy Policy.

SocialGuap's use of YouTube API Services is subject to the YouTube API Services Terms of Service and Developer Policies. SocialGuap may change, suspend, or discontinue the YouTube connection if required by those policies.

14. Third-Party Services

SocialGuap depends on third-party services including Google, YouTube, Stripe, Cloudflare, Resend, and analytics and infrastructure providers.

Your use of a third-party service is also subject to that third party's own terms and privacy policies.

SocialGuap is not responsible for outages, suspensions, API changes, payment-network decisions, or other acts of third-party services outside SocialGuap's reasonable control.

15. Account Deletion, Suspension, and Termination

You may request deletion of your account at any time by emailing [email protected] from the email address on your account. In-flight orders complete or refund first.

Deletion may be delayed where necessary to resolve active orders, refunds, disputes, fraud investigations, chargebacks, or other legally required matters. SocialGuap retains records that must be kept for legal, payment, tax, accounting, fraud, chargeback, or dispute purposes, and deletes the rest.

Google and YouTube user data is subject to the shorter platform-specific deletion rules in our Privacy Policy.

SocialGuap may suspend, restrict, or terminate an account that violates these Terms, threatens users or the Platform, engages in fraud or abuse, or creates legal or security risk.

16. Platform Availability and Changes

SocialGuap may add, change, suspend, or discontinue Platform features.

Third-party APIs, payment providers, social platforms, and other dependencies may change or discontinue functionality without notice to SocialGuap.

We may make reasonable changes necessary for security, compliance, platform-policy requirements, fraud prevention, reliability, or legal requirements.

17. Disclaimers and Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW.

SOCIALGUAP DOES NOT GUARANTEE:

  • Continuous or error-free availability.
  • That a campaign, creator, brand, or clipper will meet another user's expectations.
  • A particular number of views, engagements, sales, earnings, deals, or other results.
  • The continued availability or accuracy of data supplied by third-party platforms, including YouTube.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOCIALGUAP'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE PLATFORM OR THESE TERMS WILL NOT EXCEED THE FEES YOU PAID DIRECTLY TO SOCIALGUAP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

18. Changes to These Terms

We may update these Terms to reflect product changes, pricing changes, legal requirements, security requirements, or third-party platform policies.

If a change is material, we will announce it on the Platform. Changes apply prospectively from their effective date except where law requires otherwise. Continued use of the Platform after the effective date is acceptance of the updated Terms.

19. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.

To the extent permitted by applicable law, any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in the State of Delaware, and the parties consent to the jurisdiction and venue of those courts.
